These website terms are a general framework. If an order form or signed service agreement conflicts with them, the signed agreement takes priority for that customer.

1. Agreement and provider

These Terms govern access to GoodBuddy's websites, AI receptionist, telephone services, dashboards and integrations (together, the "Service").

The supplier is the GoodBuddy entity identified in your order form, subscription confirmation or service agreement. By creating an account, accepting an order or using the Service, you agree to these Terms and any applicable order or service agreement.

2. What the Service does

GoodBuddy can answer and route calls, collect caller details, create transcripts and summaries, send requested follow-ups and connect with calendars, CRMs and other business tools. Features depend on your plan, configuration, telephone provider and connected services.

3. Your responsibilities

  • provide accurate, lawful and current business information;
  • have authority to connect each telephone number, account and integration;
  • protect account credentials and restrict authorised users;
  • review important call details, bookings and AI-generated output;
  • give callers legally required recording, privacy and SMS notices; and
  • use the Service consistently with your industry obligations and New Zealand law.

4. Your relationship with callers

You remain responsible for your relationship with callers and customers. GoodBuddy is a communication tool and does not become the supplier of your goods or services. You decide what information the assistant may provide, what it may book, and when a call must be transferred or escalated.

5. Acceptable use

You must not use the Service to:

  • break the law, mislead, harass or impersonate another person;
  • send spam or messages without the required consent;
  • collect information you are not entitled to collect;
  • interfere with the Service, bypass security or introduce harmful code;
  • provide emergency response, clinical diagnosis, legal advice or another high-risk decision without qualified human oversight; or
  • resell or reverse engineer the Service unless agreed in writing.

6. AI and telephone limitations

AI and speech systems can misunderstand a caller, omit context or produce incorrect output. Telephone and third-party services can also be unavailable. The Service must not be your only method for emergency, safety-critical or legally time-sensitive communications.

7. Fees, plans and taxes

Fees, included usage, overages, billing dates and minimum terms are set out in your order, checkout or service agreement. Amounts are in the stated currency and exclude applicable taxes unless expressly stated. You authorise us and our payment provider to charge amounts when due.

8. Changes, cancellation and refunds

You may cancel as described in your plan or service agreement. Cancellation normally takes effect at the end of the paid period unless stated otherwise. Usage already incurred remains payable.

Nothing in these Terms limits rights that cannot lawfully be excluded under the Consumer Guarantees Act 1993 or Fair Trading Act 1986. Where the Service is acquired in trade, the parties may agree in writing to contract out of provisions where New Zealand law permits and where it is fair and reasonable to do so.

9. Data and intellectual property

You retain rights in business information and content you supply. You grant GoodBuddy the rights reasonably required to host, process, transmit and transform that content to provide and support the Service.

GoodBuddy and its licensors retain rights in the Service, software, designs, documentation and underlying technology. Feedback may be used to improve the Service without identifying you.

10. Connected services

Connected telephone, calendar, CRM, payment and other providers have their own terms and privacy practices. We are not responsible for a third party's service, data or availability, although we remain responsible for obligations that New Zealand law does not allow us to exclude.

11. Availability and liability

We aim to provide a reliable Service but do not promise uninterrupted or error-free operation. We may maintain, change or discontinue features where reasonably necessary.

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, lost profits, lost opportunities or loss caused by events outside reasonable control. Any further liability limits are stated in the applicable service agreement. Non-excludable statutory rights remain unaffected.

12. Suspension and termination

We may suspend or terminate access for material breach, non-payment, unlawful use, security risk or where required by law. Where practical, we will give notice and an opportunity to remedy the issue. Provisions intended to survive termination continue to apply.

13. New Zealand law and contact

These Terms are governed by New Zealand law, and New Zealand courts have non-exclusive jurisdiction. Contact details for formal notices are in your service agreement. For general enquiries, visit Contact Us.
